Purpose and legislative effect

Defines terms used in this Act: Board; chairperson; Corporation; currency point; Minister; undertaking. The Board may appoint committees for specified purposes; committees shall have a chairperson and other Board members; committees may invite or co‑opt persons (who may not vote); members may be paid allowances with the Minister's written approval; committees may regulate their procedure subject to Schedule 3. The Corporation must cooperate with government ministries, departments and agencies in implementing the Act; those ministries, departments and agencies must provide necessary assistance to the Corporation; persons in authority who contravene that duty commit an offence punishable by a fine of forty-two currency points or imprisonment not exceeding three years or both. Establishes the Uganda Development Corporation as a body corporate and grants the Corporation permission to acquire, hold or dispose of movable and immovable property, to sue and be sued in its corporate name, and to do all acts a body corporate may lawfully do for discharging its functions under this Act. The Corporation must establish subsidiaries and promote research, and may enter into public–private partnerships and assist financing and management through such partnerships.

Financial provisions - Audit

The Auditor General (or an auditor appointed by them) must audit the Corporation’s accounts each financial year, and the Auditor General must submit to Parliament a report on those audited accounts within six months after receipt of the accounts.

The Minister may, in consultation with the Board and by statutory instrument, make regulations to implement the Act and may prescribe penalties, continued-offence penalties, forfeiture, fees and forms under the Act.

Section Interpretation Section In this Act, unless the context otherwise requires— " Board " means the board established under section 6 ; " chairperson " means the chairperson of the board; " Corporation " means the Uganda Development Corporation; " currency point " has the value assigned to it in Schedule 1; " Minister " means the Minister responsible for industrial development; " undertaking " means an enterprise carrying on any commercial, industrial, mining, or agricultural operations.

§ 10Uganda Development Corporation - Committees of the BoardProvision

The Board may appoint committees for specified purposes; committees shall have a chairperson and other Board members; committees may invite or co‑opt persons (who may not vote); members may be paid allowances with the Minister's written approval; committees may regulate their procedure subject to Schedule 3.

Section Committees of the Board Section The Board may appoint committees— to inquire into and advise the Board on any matter concerning the functions of the Corporation ; to exercise the powers or perform a function of the Board . A committee appointed under subsection (1) shall consist of a chairperson and other members of the Board , as the Board may determine. A committee may invite any person to attend any of its meetings and may co-opt any person to the committee, but that person shall not vote on any matter before the committee. Members of a committee appointed under this section may be paid allowances as the Board may, with the written approval of the Minister , determine. Subject to Schedule 3, a committee appointed under this section may regulate its own procedure.

§ 11Uganda Development Corporation - Cooperation with other agenciesOffence

The Corporation must cooperate with government ministries, departments and agencies in implementing the Act; those ministries, departments and agencies must provide necessary assistance to the Corporation; persons in authority who contravene that duty commit an offence punishable by a fine of forty-two currency points or imprisonment not exceeding three years or both.

Section Cooperation with other agencies Section The Corporation shall cooperate with other government ministries, departments, and agencies in the implementation of this Act. For the purpose of subsection (1), all ministries, departments and agencies of government shall accord to the Corporation such assistance as may be necessary to ensure the proper discharge of the objects of the Corporation . Any person in authority in a government ministry, department, or agency, who contravenes subsection (2), commits an offence and is liable on conviction to a fine of forty-two currency points or imprisonment not exceeding three years or both.

§ 2Uganda Development Corporation - Establishment of Uganda Development CorporationProvision

Establishes the Uganda Development Corporation as a body corporate and grants the Corporation permission to acquire, hold or dispose of movable and immovable property, to sue and be sued in its corporate name, and to do all acts a body corporate may lawfully do for discharging its functions under this Act.

Section Establishment of Uganda Development Corporation Section The Corporation is a body corporate with perpetual succession and a common seal and may for the purposes of discharging its functions under this Act— There is established the Uganda Development Corporation . acquire, hold or dispose of movable and immovable property; sue and be sued in its corporate name; do all acts and things that a body corporate may lawfully do.
§ 3Uganda Development Corporation - Objects of the CorporationProvision

The Corporation must establish subsidiaries and promote research, and may enter into public–private partnerships and assist financing and management through such partnerships.

Section Objects of the Corporation Section For the purposes of attaining its object under subsection (1) the Corporation — The object of the Corporation is to promote and facilitate the industrial and economic development of Uganda. shall establish subsidiary and associated companies; may enter into public private partnerships with any commercial, industrial, or agricultural undertaking or enterprise; may, through public private partnerships, assist in the financing and management of undertakings promoting industrial or economic development; shall promote and facilitate research into industrial development.
§ 4Uganda Development Corporation - Functions of the CorporationProvision

Lists the Corporation's functions, including implementing its object; facilitating government investment; promoting and implementing public–private partnerships; entering joint ventures; managing government interests in specified entities; advising the Minister; financing or guaranteeing undertakings in partnership; registering the Corporation abroad; acquiring or underwriting interests; appointing representatives; cooperating with research bodies; ensuring viability of partnered entities; and performing related functions. Also states it is not authorised to compulsorily acquire undertakings or interests.

Section Functions of the Corporation Section The functions of the Corporation are— to implement the object of the Corporation ; to facilitate Government investment in strategic sectors of the economy for the purposes of industrial and economic development; to promote, facilitate and implement public private partnerships in areas related to the object of the Corporation ; to enter into joint ventures or other arrangements with any domestic or foreign entity for the purposes of fulfilling the object of the Corporation ; to take over the interest of Government in the entities specified in Schedule 2, and to manage promote and facilitate the interest of the Government in those entities; to be one of implementing agencies of public private partnerships on behalf of Government; to advise the Minister on the industrial and economic development of Uganda; to promote, finance or guarantee the financing of any undertaking in Uganda or outside Uganda, where government is in partnership or joint venture with another entity; to procure the registration of the Corporation in any country or territory; to acquire an interest in, provide or by underwriting or otherwise assist in the subscription of capital for any undertaking engaged in, or proposing to establish, or expand or modernize any business or enterprise where government intends to acquire interest; to appoint any person to act on behalf of the Corporation as director of or in any other capacity in relation to any enterprise or undertaking in which the Corporation has an interest; to cooperate with research organizations in furtherance of the object of the Corporation ; to ensure the commercial, financial, and technical soundness and viability of entities with which Government enters into partnership ventures; and to carry out any other function that is related, connected or conducive to the functions of the Corporation . This section shall not be construed as authorizing the compulsory acquisition by the Corporation of any undertaking or any interest in any undertaking .
§ 5Uganda Development Corporation - Corporation to follow Government policyProvision

The Corporation must follow the Government policy on industrial and economic development when performing its functions; the Minister may, in writing, give policy directives to the Corporation about attaining its object.

Section Corporation to follow Government policy Section In the performance of its functions, the Corporation shall follow the Government policy on industrial and economic development. For the purposes of subsection (1), the Minister may, in writing, give policy directives to the Corporation regarding the attainment of its object.
§ 6Uganda Development Corporation - Board of the CorporationProvision

The Board is composed as specified; members are appointed by the Minister with Cabinet approval; the Minister must ensure at least 40% of appointed members are women; certain persons may not be appointed; the Executive Director does not have voting rights; some members serve three-year terms and may be reappointed only once.

Section Board of the Corporation Section The Board shall consist of the following— The Corporation shall be governed by a Board . one person with experience and knowledge in corporate governance, industrial or economic development, who shall be the chairperson ; the permanent secretary of the ministry responsible for industry or his or her representative being an officer not below the rank of commissioner; the permanent secretary of the ministry responsible for finance or his or her representative being an officer not below the rank of commissioner; four eminent persons of good repute and proven integrity to represent the private sector; the Executive Director, who shall not have the right to vote. The members of the Board shall be appointed by the Minister with the approval of Cabinet. A person shall not be appointed a member of the Board under subsection (2) (a) and (e) if that person holds an elective political office or is a public officer or he or she holds a controlling interest in any venture likely to conflict with the business interests of the Corporation . A member of the Board shall hold office on the terms and conditions specified in the instrument of appointment. A member of the Board other than a member appointed under paragraphs (b) and (c) of subsection (2) shall hold office for three years and shall be eligible for reappointment only once. The Minister shall ensure that not less than 40% of the members appointed to the Board shall be women.
§ 7Uganda Development Corporation - Vacating office of member of the BoardOffence

Members appointed by the Minister stop being Board members if specific events occur (removal by Minister, resignation, insolvency, certain convictions, election to public office, incapacity, undisclosed conflicts, misconduct); a member may resign in writing to the Minister; the Minister may appoint a replacement for the remainder of the term.

Section Vacating office of member of the Board Section A person appointed by the Minister shall cease to be a member of the Board if that person— is removed from office by the Minister for— resigns; is declared insolvent; is convicted of a criminal offence in respect of which a penalty of imprisonment of six months or more is imposed without the option of a fine; is elected to Parliament or a local government council; continuously and persistently being unable to discharge the functions of member of the Board ; inability to perform the functions of his or her office arising from infirmity of body or mind; failing to disclose to the Corporation any interest in a contract or proposed contract with the Corporation ; misconduct or abuse of office. A person appointed a member of the Board may resign from office in writing to the Minister . Where a member appointed by the Minister resigns or is removed from office under this section, the Minister may in accordance with section 6 appoint another person to replace the member, and to hold office for the remainder of the term of that member.
§ 8Uganda Development Corporation - Meetings of the BoardProvision

The Board must ordinarily meet at least once every two months; it must also meet if at least three members request in writing; meetings must follow Schedule 3.

Section Meetings of the Board Section The Board shall ordinarily meet at least once in every two months for the purposes of discharging its functions. The Board shall also meet at the written request of not less than three members of the Board . The meetings of the Board shall be conducted in accordance with Schedule 3.
§ 9Uganda Development Corporation - Remuneration of members of the BoardProvision

Members of the board, except the Executive Director, are entitled to remuneration or allowances approved by the Minister in consultation with the Ministers responsible for public service and finance.

Section Remuneration of members of the Board Section A member of the board, except the Executive Director, shall be paid remuneration or allowances approved by the Minister in consultation with the Ministers responsible for public service and finance.

Part III

Management and staff of the Corporation

§ 12Management and staff of the Corporation - Executive DirectorOffence

The Corporation must have a full-time Executive Director appointed by the Minister on the recommendation of the Board; the Executive Director holds office for four years and may be reappointed once; a person may not be appointed unless they have considerable management or administration experience; the office is vacated on certain grounds including resignation, insolvency, conviction with imprisonment of six months or more, inability to perform duties, failure to disclose interests, or misconduct.

Section Executive Director Section A person shall cease to hold the office of Executive Director if that person— is removed from office by the Minister on the recommendation of the Board for— The Corporation shall have a full time Executive Director who shall be appointed by the Minister on the recommendation of the Board . A person shall not be appointed Executive Director unless that person has considerable knowledge and experience in management or administration. The Executive Director shall hold office for four years and shall be eligible for reappointment for one more term only. resigns; is declared insolvent; is convicted of a criminal offence in respect of which a penalty of imprisonment of six months or more is imposed without the option of a fine; continuously and persistently being unable to discharge the functions of Executive Director; failing to disclose to the Corporation any interest in a contract or proposed contract with the Corporation ; misconduct or abuse of office.

§ 13Management and staff of the Corporation - Duties of the Executive DirectorProvision

The Executive Director is the chief executive officer and must implement Board policies and programmes, manage Corporation funds and property, administer and control staff, keep the Board informed, keep transaction records, and is answerable to the Board, subject to this Act and the Board's general supervision.

Section Duties of the Executive Director Section Subject to this Act and to the general supervision of the Board , the Executive Director is the chief executive officer of the Corporation and shall— implement the policies and programmes agreed upon by the Board ; manage the funds and property of the Corporation ; administer, organise, supervise, and generally control the staff of the Corporation ; keep the Board informed of the activities of the Corporation ; and keep a record of all the transactions of the Corporation . In the performance of his or her duties, the Executive Director is answerable to the Board .

§ 14Management and staff of the Corporation - Corporation SecretaryProvision

The Board appoints a secretary; the secretary must act as principal legal advisor, manage board meeting business and records, perform functions assigned by the Executive Director, be answerable to the Executive Director when performing functions, and possess relevant professional qualifications.

Section Corporation Secretary Section The secretary to the Corporation shall be responsible for— There shall be a secretary to the Corporation who shall be appointed by the Board on terms and conditions specified in the instrument of appointment. The secretary to the Corporation shall be the principal legal advisor of the Corporation . arranging the business at meetings of the Board ; taking minutes at the meetings of the Board ; keeping the records of the decisions and other policy records of the Board ; and performing any other functions assigned by the Executive Director. In the performance of his or her functions, the secretary is answerable to the Executive Director. The secretary to the Corporation shall possess relevant professional qualifications.

§ 15Management and staff of the Corporation - Other officers and staff of the CorporationProvision

The Corporation must have sufficient staff; the Board must appoint staff; the Board may delegate appointment power to the Executive Director.

Section Other officers and staff of the Corporation Section The Corporation shall have such number of staff as may be necessary for the effective performance of its functions. The staff of the Corporation shall be appointed by the Board on such terms and conditions as the Board shall determine. The Board may delegate the power to appoint certain categories of staff of the Corporation to the Executive Director.

§ 16Management and staff of the Corporation - Protection of members of the Board and officers of the CorporationProvision

Members of the Board, officers of the Corporation, and persons acting on their directions are not personally liable for acts or omissions done in good faith while exercising functions under the Act.

Financial provisions

§ 17Financial provisions - Capital of the CorporationProvision

The capital of the Corporation is five hundred billion shillings; the Minister may, with Cabinet approval and by statutory instrument and subject to the Act, increase that capital.

§ 18Financial provisions - Funds of the CorporationProvision

The Corporation's funds include money appropriated by Parliament; grants, gifts or donations; loans approved by Cabinet per the Public Finance Management Act, 2015; and profits, dividends, fees or charges. All funds received under subsection (1) must be declared to the minister responsible for finance in accordance with the Public Finance Management Act.

Section Funds of the Corporation Section The funds of the Corporation shall consist of— money appropriated by Parliament for the purposes of the Corporation ; grants, gifts, or donations extended to the Corporation ; and loans obtained with the approval of Cabinet in accordance with the Public Finance Management Act, 2015. profits or dividends and other fees or charges of the Corporation , 2015. All funds received by the Corporation under subsection (1) shall be declared to the minister responsible for finance in accordance with the Public Finance Management Act.

§ 19Financial provisions - Borrowing powers of CorporationProvision

The Board may, subject to Article 159 and with the approval of Parliament, borrow money to meet its obligations or to discharge the Corporation's functions under this Act.

§ 21Financial provisions - Estimates of income and expenditureProvision

The Board must prepare and submit to the Minister, at least two months before each financial year, a budget with estimates of the Corporation's income and expenditure for the next financial year; the Corporation must not spend more than that budget without the Minister's approval.

§ 28Financial provisions - Industrial and Economic Development FundProvision

Establishes the Industrial and Economic Development Fund, lists its permitted uses and sources of funds, states that the Fund is to be managed by the Corporation, and requires the Minister (with Cabinet approval) to make a statutory instrument for its control and management and to lay that instrument before Parliament.

Section Industrial and Economic Development Fund Section The Industrial and Economic Development Fund shall be utilised to— The monies to form part of the Industrial and Economic Development Fund shall be derived from the following sources— There is established a fund to be known as the Industrial and Economic Development Fund. finance the promotion and facilitation of industrial and economic development of Uganda; finance and manage industrial and agricultural undertakings or economic developments in which the Government has interest; promote and facilitate research into industrial development. Subject to this section, the Industrial and Economic Development Fund shall be managed by the Corporation . monies appropriated by Parliament; loans obtained by the Government; grants from any donors; any monies paid into the fund under this Act; any other source approved by the Minister in writing in consultation with the Minister responsible for finance. The Minister shall, by statutory instrument, with the approval of Cabinet, provide for the control and management of the Industrial and Economic Development Fund. The Minister shall lay the instrument made under subsection (5) before Parliament.

Miscellaneous

§ 29Miscellaneous - Official seal of CorporationProvision

The Board decides the Corporation's common seal; the Executive Director keeps it; when the seal is affixed it must be authenticated by signatures of the Executive Director and the secretary; certain contracts may be executed without a seal by the Executive Director or persons authorised by the Board.

Section Official seal of Corporation Section Every document purporting to be— The common seal of the Corporation shall be determined by the Board and shall be kept in the custody of the Executive Director. The common seal shall, when affixed to any document, be authenticated by the signatures of the Executive Director and the secretary to the Corporation . A contract or instrument which if entered into or executed by a person not being a body corporate would not be required to be under seal may be entered into or executed without a seal on behalf of the Corporation by the Executive Director or any other person authorised for the purpose by the Board . an instrument issued by the Corporation and sealed with the common seal of the Corporation and authenticated in accordance with this section; or a contract or instrument entered into or executed under this section,

§ 30Miscellaneous - Annual and other reportsProvision

The Board must annually make and submit a report and the Corporation must submit audited financial statements with it; the Board must also send quarterly and other reports as required, and the Minister must table the annual report within six months of receipt.

Section Annual and other reports Section The Board shall, not later than six months after the end of each financial year, make and submit to the Minister a report on the activities of the Corporation during that financial year. The Corporation shall submit to the Minister , together with the report referred to in subsection (1), the audited financial statements of the Corporation , and the auditor’s report on those statements. The Board shall also submit to the Minister quarterly performance reports and other reports as the Minister may from time to time require. The Minister shall, not later than six months after receipt of the report submitted to him or her under subsection (1), table the report before Parliament.

§ 31Miscellaneous - ConfidentialityOffence

Employees of the Corporation must not disclose information obtained through their employment to unauthorised persons, except when authorised by law.

Section Confidentiality Section An employee of the Corporation shall not disclose to any unauthorised person any information obtained by virtue of his or her employment except where the employee is authorised by law to disclose the information. A person who contravenes subsection (1) commits an offence and is liable, on conviction, to a fine not exceeding one hundred twenty currency points or imprisonment not exceeding five years or both.

§ 32Miscellaneous - Conflict of interestProvision

A person with an interest in a matter before the Board who fails to disclose that interest may be prosecuted and punished under the Anti-Corruption Act, 2009 for conflict of interest.

Section Conflict of interest Section A person who has an interest in any matter considered by the Board and who fails to disclose his or her interest in accordance with this Act may be prosecuted and punished under the Anti-Corruption Act, 2009 for conflict of interest.

§ 33Miscellaneous - Vesting of assets and liabilitiesCommencement

The Minister must, in accordance with section 4(1)(e) and by statutory order, list other government property, rights, assets, liabilities and obligations to be included in Schedule 2.

The Minister shall, in accordance with section 4 (1)(e), by statutory order, list other property, rights, assets, liabilities and obligations of Government to be included in Schedule 2. For the avoidance of doubt, the assets and liabilities of the Uganda Development Corporation existing under the repealed Uganda Development Corporation Act shall not be taken to be transferred to the Corporation under this section.

§ 34Miscellaneous - EmployeesCommencement

The Corporation may, on commencement, accept into its employment certain Uganda Development Company Limited employees who opt in; those who opt in are subject to competitive interview and not-less-favourable terms, and those not accepted are entitled to terminal benefits paid by the Government.

Section Employees Section The Corporation may, on the commencement of this Act, accept into its employment any person who immediately before that date is employed by Uganda Development Company Limited and who has been given an option by the Corporation and has opted to serve as an employee of the Corporation . A person who opts to serve as an employee of the Corporation under subsection (1) shall only be accepted as an employee of the Corporation on a competitive interview basis and shall be employed on terms and conditions of service not less favorable than the terms and conditions of service to which the person is entitled immediately before the coming into force of this Act. For the avoidance of doubt, a person who is not accepted under subsection (1) as an employee of the Corporation is entitled to terminal benefits and pension and the Government shall be responsible for the payment of all retirement benefits and severance pay payable as appropriate, to the employees referred to in subsection (1).

The Minister may, in consultation with the Board and by statutory instrument, make regulations to implement the Act and may prescribe penalties, continued-offence penalties, forfeiture, fees and forms under the Act.
