The court found that the Plaintiff was appointed as a Director of the Defendant company and entitled to an annual honorarium, which was not paid for one year and six months, constituting a breach of the Service Agreement. The Plaintiff also paid UGX 100,000,000 for the supply of Defatted Soya Flour (DSF), but the Defendant failed to supply the DSF or refund the money, amounting to breach of contract. The Defendant's denial of the contract was estopped by its conduct and acceptance of payment. The Defendant failed to adduce evidence in support of its counterclaim, which was therefore dismissed…
