Holding and result

The court found that the plaintiff had fulfilled his obligations under the sale agreement by paying the deposit and being ready and willing to complete the purchase. The defendant's inability to provide a discharge of mortgage prevented completion of the sale, and the subsequent resale of the property to a third party further frustrated the original contract. As a result, the defendant was not entitled to retain the deposit, and the plaintiff was entitled to a refund of the 50 million shillings paid. The court also awarded interest on the deposit from the date of the agreement and costs to the plaintiff.

Questions and positions

Legal issues

Party arguments

Applicant
The plaintiff argued that he paid a deposit of 50 million shillings as required by the sale agreement dated 1st August 2007 for Plot 17B Jombe Road Luzira. The plaintiff was ready, able, and willing to pay the balance, but the defendant failed to provide a discharge of mortgage, preventing completion. The defendant subsequently resold the property to another purchaser. The plaintiff seeks recovery of the deposit.
Respondent
The defendant admitted that the discharge of mortgage was obtained only after the property had been resold to a third party. The defendant conceded that under these circumstances, the plaintiff was entitled to reimbursement of the deposit paid.

05

Court’s reasoning

  1. 01

General contract law and principles of sale of land.

A purchaser is entitled to a refund of deposit where the vendor is unable to provide good title or complete the sale due to failure to discharge encumbrances.

06

Ratio, limits and disposition

Ratio decidendi

The court found that the plaintiff had fulfilled his obligations under the sale agreement by paying the deposit and being ready and willing to complete the purchase. The defendant's inability to provide a discharge of mortgage prevented completion of the sale, and the subsequent resale of the property to a third party further frustrated the original contract. As a result, the defendant was not entitled to retain the deposit, and the plaintiff was entitled to a refund of the 50 million shillings paid. The court also awarded interest on the deposit from the date of the agreement and costs to the plaintiff.

Obiter and limits

  • Vendors must ensure that all encumbrances are cleared before entering into binding sale agreements to avoid liability for refunding deposits.
  • Prompt communication and transparency between parties can prevent unnecessary litigation in property transactions.

Court disposition

judgment for the plaintiff

  • The defendant shall pay the plaintiff 50 million shillings being the deposit paid.
  • The defendant shall pay interest on the sum of 50 million shillings from 1st August 2007 at the rate of 25%.
  • The defendant shall pay the plaintiff's costs.
