Holding and result

The court found that Order 27 Rule 1 applies only to defendants in suits for debt or damages, and the applicant, being a plaintiff in the main suit, could not rely on this rule. Although Order 27 Rule 9 allows a plaintiff who is a defendant to a counterclaim to pay money into court, the application was brought under the wrong rule. However, the procedural defect was not fatal since the application was by notice of motion as required. Nonetheless, the relief sought—deposit of a bank guarantee as security in substitution for the title deed—was not covered by Order 27, which only contemplates payment of money into court in satisfaction of a claim, not substitution of security. Furthermore, the proposed bank guarantee would lapse before the main suit was determined, rendering it ineffective as security. The court concluded that granting the application would prejudice the respondent and dismissed the application with costs.

Court disposition

application dismissed with costs

Orders

  • The application to deposit a bank guarantee as security and for release of the title deed is dismissed.
  • Costs awarded to the respondent.

Questions and positions

Legal issues

Party arguments

Applicant
The applicant argued that he has repaid the Uganda Shs 15,000,000 and is willing to deposit a bank guarantee for USD 47,780 to discharge his obligations under the legal mortgage, seeking release of the title deed. He contended that as a defendant to the counterclaim, he should be allowed to deposit security, citing the right of redemption and the court's power to allow alternative security. He relied on case law to support the right to redeem property and the court's discretion to allow payment into court.
Respondent
The respondent opposed the application, arguing that Order 27 Rule 1 only allows a defendant to pay money into court in satisfaction of a claim for debt or damages, and the applicant, being a plaintiff, cannot use this provision. The respondent further argued that the application was brought under the wrong rule, that the relief sought (substitution of security) is not covered by the rules, and that the proposed bank guarantee would lapse before the main suit is determined, prejudicing the respondent.

06

Ratio, limits and disposition

Ratio decidendi

Obiter and limits

  • A deposit of security in court for the payment of money is not payment of money into court in satisfaction of the claim.
  • The mortgagor always has the right to redeem his property, but the mortgagee has the right to choose the form of security.
  • Procedural defects can be cured by invocation of Article 126(2)(e) of the Constitution if no injustice is caused.

Court disposition

application dismissed with costs

  • The application to deposit a bank guarantee as security and for release of the title deed is dismissed.
  • Costs awarded to the respondent.
