01

Holding and result

The court found that the defendant, Kampala District Land Board, was not the controlling authority for the subject plot and did not have the power to lease it to the plaintiff. The lease offer was conditional, and the plaintiff or its professional advisers failed to verify the defendant's authority and the status of the title. No misrepresentation, fraud, or deception was established on the part of the defendant. The proper cause of action, if any, would be against the plaintiff's professional advisers for failing in their duty of care. Consequently, the claim against the defendant was dismissed as misconceived, with costs awarded to the defendant.

Questions and positions

Legal issues

Party arguments

Applicant
The plaintiff claims that the defendant offered a lease for Plot 19 Bombo Road, Kampala, and upon completion of the lease, the plaintiff discovered that the defendant was not the controlling authority and lacked the power to lease the land. The plaintiff seeks compensation for sums paid and general damages, alleging misrepresentation and loss due to the defective title.
Respondent
The defendant contends that the lease offer was expressly subject to the land being available and free from dispute at the time of survey. The defendant denies any misrepresentation, fraud, or deception, and argues that any cause of action lies against the plaintiff's professional advisers who failed to conduct proper due diligence.

05

Court’s reasoning

  1. 01

Ugandan land law and general principles of contract

A party offering a lease must have legal authority over the property; absence of such authority negates liability for defective title unless misrepresentation or fraud is proven.

  2. 02

Common law duty of care; professional negligence jurisprudence

Professional advisers owe a duty of care to clients to conduct proper searches and enquiries to verify title and authority of lessors.

06

Ratio, limits and disposition

Ratio decidendi

The court found that the defendant, Kampala District Land Board, was not the controlling authority for the subject plot and did not have the power to lease it to the plaintiff. The lease offer was conditional, and the plaintiff or its professional advisers failed to verify the defendant's authority and the status of the title. No misrepresentation, fraud, or deception was established on the part of the defendant. The proper cause of action, if any, would be against the plaintiff's professional advisers for failing in their duty of care. Consequently, the claim against the defendant was dismissed as misconceived, with costs awarded to the defendant.

Obiter and limits

  • Professional advisers must ensure thorough due diligence in property transactions to protect clients from defective titles.
  • A conditional lease offer does not confer liability on the lessor if the conditions are not met and no misrepresentation occurs.

Court disposition

claim dismissed with costs

  • The claim against the defendant is dismissed with costs to the defendant.
